Charles has twelve years of experience in legal practice and advisory, hedged with a wealth of experience in property law and conveyancing, real estate project structuring and financing, and securitisation. He also possesses a keen interest and has built knowledge in commercial and corporate law, having advised a wide range of clients — both in the private and public sectors — on diverse legal aspects within these scopes.

BIOGRAPHY

Charles has twelve years of experience in legal practice and advisory, hedged with a wealth of experience in property law and conveyancing, real estate project structuring and financing, and securitisation. He also possesses a keen interest and has built knowledge in commercial and corporate law, having advised a wide range of clients — both in the private and public sectors — on diverse legal aspects within these scopes.

He has been involved in property and real estate transactions collectively valued at billions of shillings, including the legal structuring and restructuring of corporate entities in different sectors of retail and manufacturing. He has also been part of legal teams advising development sectors at county and national government levels, as well as multilateral organisations. Charles’ proudest contributions to the firm include business development and guiding Associates in their day-to-day challenges. His ultimate ambition is Judgeship.

Charles is an Advocate of the High Court of Kenya, and a Commissioner for Oaths and Notary Public, and holds a Bachelor of Laws Degree (LL. B) from the University of Nairobi and a Diploma in Law from the Kenya School of Law.

EXPERIENCE

  • Acted for Zamara Fanaka Retirement Fund (previously Alexander Forbes Retirement Fund) in the legal structuring of a real estate development worth over KES 2.5 billion, comprising a gated community of townhouses, apartments, a school, community centre and ancillary amenities on a 30-acre parcel of land.
  • Acted for the production and manufacturing company that is behind the reviving of the TreeTop juice brand and its re-introducing into the Kenyan market.
  • Legal advisor  in the incorporation and setup of operations of an investments and real estate company focused on offering alternative investment solutions to global institutional investors, individual high net-worth investors, local institutional investors and diaspora investors.
  • Part of the legal team representing a private equity fund in the financing transaction for Greenwood Park, in Meru County.
  • Provided legal advisory to a founder shareholder of Alpha Commercial Bank PLC, a bank incorporated in South Sudan, in incorporation, ensuring legal compliance and preparation of commercial documents including the Shareholders Agreement and other constitutive documents.
  • Acted for various private companies in securitization transactions worth hundreds of millions, which involved reviewing the financing documents, preparing the relevant security documents in respect of the facilities and providing legal opinions to the financiers as required.
  • Provided legal advisory to Symbion Kenya Limited, a leading architectural firm, in the restructuring of its legal composition.
  • Legal adviser for Ark Creative in shareholding restructuring and various general legal advisory services.
