Our Mergers & Acquisitions team acted for Centum and the management of GenAfrica Asset Managers Limited in the acquisition and subsequent disposal of a majority stake in GenAfrica, a fund manager licensed to manage pension funds with operations in Kenya and Uganda, a transaction valued at close to Kes 2 Billion.  Our role included drafting the Share Purchase Agreement, a Shareholders’ Agreement, obtaining approvals from multiple regulators in Kenya and Uganda, and guiding the parties towards completion and post-completion filings.

We acted for Ascent Rift Valley Capital in conducting legal due diligence on a chain of fast-food restaurants in relation to a proposed acquisition of the chain, including a comprehensive review of all potentially relevant legal issues in the context of the proposed transaction.

Acted for Musoni Microfinance Limited in a multi-tranche Note Issuance Facility of Kes 2 Billion. Working with other transaction advisors, our role included carrying out a detailed legal and tax due diligence on the company, negotiating the guarantee arrangements, providing a legal opinion, and contributing to the offering memorandum.

Acted for Centum Investment Plc in its acquisition of a majority stake in Longhorn Publishers Plc. This transaction was a first of its kind in Kenya where a listed company was acquired by another listed entity through a rights issue.  Our role included advising on the acquisition strategy, drafting renunciation instruments, and obtaining the approval of the Capital Markets Authority as well as the Competition Authority of Kenya

We are legal advisors in two separate consortia advising on the privatization of four State-owned enterprises in Kenya, in the hospitality industry and beverage manufacturing.

We are legal advisors to Kenya Wine Agencies Limited (KWAL) on implementation of the Data Protection Act, 2019, including preparation of a compliance matrix and provision of recommendations for internal use in ensuring compliance.

We advised Sayani Investments Limited in its investment in IX Africa Data Centre Limited, East Africa’s largest data hub campus providing cloud and carrier-neutral data center services. This transaction involved reviewing the subscription and shareholders’ agreement for FFP IX Africa, a company domiciled in Mauritius, and subsequently , reviewing the investment and shareholders’ agreement for IX Africa Data Centre and its holding company, IX Africa Mauritius

We acted for Shangdong Hi-Speed Road & Bridge Company Limited, a company based in China, in conducting a due diligence on Hass-Consortium GVR Infra Limited, a public-private partnership SPV,  in relation to a proposed acquisition of the SPV
