Emmanuel Mueke

Emmanuel Mueke’s more than seven years of experience in commercial and corporate law, alongside commercial and tax dispute resolution, make him a formidable legal expert in these fields. His areas of specialisation are M&A, Capital and Debt Markets, Privatisation, and Tax Dispute Resolution. He has delivered exceptionally in corporate commercial matters, including corporate re-organisations, capital and debt raising, labour, and retirement benefits advisory.

A self-taught polymath, he excels in several diverse disciplines including ICT and ICT law, marketing, advertising, and branding, and is a leading light in knowledge sharing with colleagues in these fields. Emmanuel has also assisted in business development and client care, thereby enhancing relationships with existing and new clients alike. He is fundamental in heightening the quality of legal drafting and firm presentations, including proposals and client newsletters, and provides leadership in the execution of key assignments. His proudest contribution to KN Law LLP has been reviving litigation practise by providing the requisite expertise, experience, and skills to handle commercial disputes, through both traditional litigation and alternative methods of dispute resolution. In this respect, he has successfully delivered a KES 83 million commercial arbitration on behalf of a major client.

Emmanuel advises clients in wide-ranging sectors: private equity and venture capital, insurance and pensions, pharmaceuticals, banking and finance, transport, communications and ICT, real estate, construction, commercial agriculture, horticulture, and fair trade.

Emmanuel is an Advocate of the High Court of Kenya and holds a Bachelor of Laws degree (LL. B) from Kenyatta University and a Diploma in Law from the Kenya School of Law. He has also qualified as an Associate of the Chartered Institute of Arbitrators- Kenya Chapter.

• Acted for Techno Brain FZ LLC in its issuance of a USD 5 Million Commercial Paper;
• Advised a horticulture conglomerate on fair trade principles and handled its certification appeal;
• Advised a large pharmaceutical company on the best entity and structure for an association of pharmacists and chemists;
• Advised a local microfinance institution on equity and debt raising and balance sheet restructuring;
• Advised Insta Products EPZ Limited in an equity investment transaction by a Development Finance Institution;
• Advised on the ongoing privatization of four State-Owned Enterprises in Kenya;
• Advised on the restructuring and purchase of various companies;
• Advised on the use of a Quistclose Trust for recovery of funds held in a collapsed bank;
• Advised various multinationals on debt structuring, complex debt recovery including recoveries from related companies domiciled in multiple jurisdictions;
• Created the Judicial Evaluation Template presently in use by the Law Society of Kenya, Nairobi Branch;
• Lead legal advisor to EFFCO Solutions Kenya Limited and Orbit Products Africa Limited in their respective issues of USD 2 Million and USD 15 Million multicurrency commercial papers;
• Part of the team that acted for Centum Real Estate Limited in its issue of a KES 4 Billion Corporate Bond (with a greenshoe option for up to KES 2 Billion);
• Successfully resolved a multinational NGO’s dispute on intellectual property, branding, and registration concerns in South Sudan;
• Undertook the first-ever litigation in Kenya on the International Chamber of Commerce’s Uniform Rules for Demand Guarantees, URDG 758; and
• Was part of the team which incorporated and domiciled major foreign investors in the real estate and construction industry including setting up joint ventures and advising on financing, employment and labor laws, OSHA compliance, and real estate.
