Sheilla Mokaya is part of our commercial team, with experience in Banking and Finance. She has been involved in Corporate and Commercial Transaction Advisory, Corporate Governance, and Company Secretarial Practice. Sheilla also has experience in litigation, and has assisted in recovery processes for financial institutions.

Among her growing wealth of experience, Sheilla can be counted advising a financial institution in the structuring and issue of its privately placed note programme, and involvement in drafting of lending and security documentation for corporate and individual lending transactions. Her legal versatility has seen her advice and act for a client in the sale of a football club in the Kenya Premier League, act on behalf of a property developer in drafting of leases, obtaining the relevant consents and pursuing the registration formalities of the sub-leases, in addition to being involved in drafting of various commercial contracts such as share purchase agreements, sale agreements, employment contracts, and non-disclosure agreements. Sheilla’s proudest moment was her contribution to the Firm’s Chambers Global Practice Guide Publication 2022, and her ambition is to be market leader in multinational commercial and corporate transactions.

Sheilla is an advocate of the High Court of Kenya and holds a Bachelor of Laws from Kenyatta University as well as a Post-graduate Diploma in Law from the Kenya School of Law. She is also a Certified Secretary (CS) and a Certified Public Accountant (finalist).

EXPERIENCE

  • Involved in drafting of lending and security documentation for corporate and individual lending transactions.
  • Acted and advised a client in the sale of a football club in the Kenya premier league.
  • Acted on behalf of a property developer in drafting of leases, obtaining the relevant consents and pursuing the registration formalities of the sub-leases.
  • Involved in drafting of various commercial contracts such as: share purchase agreements; sale agreements; employment contracts and non-disclosure agreements.
  • Acted on behalf of a listed telecommunication company in reviewing and drafting of various international payment systems contracts; license agreements and terms and conditions for the use of applications.
  • Undertook the training of the Board of Directors of various public companies on the developments in corporate governance. This entailed identifying and analyzing the legal, regulatory and policy frameworks under which the clients operates; evaluating the clients’ internal policies and procedures with a view to assess the extent of their compliance with the existing legal and regulatory framework; identifying and reporting on the pertinent legal risks emanating from any non-compliance; preparing a report identifying the various risks and steps to be taken to ensure compliance and the timelines within which corrective measures are to be undertaken; providing best practices with respect to all aspects of the operations of the board; and preparation of board charters, terms of reference for board committees and various board policies.
  • Part of the team conducting Legal Compliance and Governance Audits for various state corporations.
  • Involved in the incorporation of various business entities and provision of general business support to various clients as part of enterprise risk management.
